Setting up the company

Name reservation, drafting the articles, signing at the notary, applying for the tax number, paying any applicable taxes and registering at the Commercial Registry. Before any of that we look at which legal form fits the activity and the split between shareholders, because it shapes everything else.

Foreign shareholders and directors

This is the norm in Marbella. An NIE is required, and in some cases powers of attorney or apostilles depending on the country of origin. We coordinate this with the firm’s immigration area so the steps happen in the right order and the incorporation does not stall halfway.

Running the financial year

Bookkeeping, periodic filings, corporate income tax and statutory accounts, with one named contact. If the company hires, payroll is handled by the same team.

Closing a company

Dissolution and liquidation follow their own procedure: the resolution, liquidation of assets, final accounts, deed and registration, plus deregistration with the tax office and social security. Leaving a dormant company open keeps obligations running.
