Setting up a company in Spain is a sequence of steps that has to be taken in order: name reservation, deed, notary, tax number, registration and social security. We handle all of them and, before that, the part that determines the rest: which legal form suits what you intend to do and how the shareholding will be split.

Choosing the legal form
A sociedad limitada, a sociedad civil, a comunidad de bienes and registering as self-employed are not interchangeable: they change your liability for debts, how you are taxed and what it takes to set up. Before reserving a name we look at your case and explain what each option means in practice.
The incorporation procedure
Name reservation at the Central Commercial Registry, drafting of the articles and the deed of incorporation, opening the bank account and paying in the share capital, signing before a notary, applying for the tax number, settling any taxes due and registering at the Commercial Registry.
Each step depends on the one before it. We take care of the whole sequence and only come back to you when your signature is needed.
What has to be registered afterwards
The census declaration of the activity, enrolment of shareholders and directors under whichever social security regime applies, and the periodic obligations that start on day one: VAT, withholdings and payments on account.
This is the part that surprises most first-time founders, because it begins before there is any invoicing.
Non-resident founders
If you do not live in Spain you will need a NIE before you can sign, and there are decisions to take about who will act as director and how the company will be represented. We deal with this regularly for clients in Marbella, Estepona, Sotogrande and the rest of the Costa del Sol, in English, and the paperwork can largely be handled without you travelling.
From the first month onwards
Once incorporated, the company needs bookkeeping, periodic filings, annual accounts and, if it takes on staff, payroll. All of that is handled by the same team that set it up, with one named contact, from any of our offices.
